By registering, accessing, or using the Khata Wallah Progressive Web Application ("Platform"), you, the shopkeeper ("User"), agree to be legally bound by these Terms & Conditions, our Privacy Policy, and all applicable laws of India.

3. Safe Harbor & No Financial Liability

🔴 Critical Clause: The Shopkeeper is solely responsible for all financial records entered. Khata Wallah holds zero liability for Udhar disputes.

3.1 Accuracy of Records

The Shopkeeper is solely and entirely responsible for the accuracy of all data entered — sale amounts, Udhar given, payments received, and inventory. We do not verify or audit any transaction.

3.2 Financial Disputes

We hold zero liability for any financial dispute between Shopkeeper and their customer. Platform records are internal business records, not legal evidence.

3.3 Liability Cap

Maximum liability is capped at 3 months' subscription fees paid. We are not liable for indirect, incidental, or consequential damages.

5. WhatsApp, SMS & TRAI Compliance 📲

Shopkeeper's Consent Obligation

By using messaging features, the Shopkeeper declares and warrants that they have obtained prior, explicit, informed opt-in consent from each customer before sending any message — compliant with TRAI TCCCPR 2018 and Meta's WhatsApp Business Policy.

Platform Role

Khata Wallah is a technology intermediary. The Shopkeeper is the originator of all messages. We are not responsible for message content or customer consent.

Anti-Spam & Suspension

On verified spam complaints, we may: suspend messaging features → issue 7-day warning → permanently terminate account without refund. Violations may be reported to TRAI or Meta.

6. Offline-First Architecture & Data Sync Policy 🔄

ℹ️ Data is stored locally on your device (IndexedDB/SQLite). Cloud sync happens when internet is available.

Shopkeeper's Sync Responsibility

It is your sole responsibility to sync regularly. Khata Wallah is not liable for data loss caused by:

7. Intellectual Property

All code, design, trademarks, and content of Khata Wallah are protected under the Copyright Act, 1957 and Trade Marks Act, 1999. You are granted a limited, non-exclusive, revocable licence to use the Platform during your active subscription.

Your data belongs to you. We claim no ownership.

Platform provided "AS IS" and "AS AVAILABLE". We disclaim all warranties including merchantability, fitness for purpose, error-free operation, and data accuracy.

11. Governing Law & Dispute Resolution

Governed by laws of Republic of India. Disputes subject to exclusive jurisdiction of courts in Gujarat, India. 30-day good-faith negotiation required before legal proceedings. Failing which, arbitration under Arbitration and Conciliation Act, 1996 — sole arbitrator, Gujarat venue.

We (Khata Wallah) are the Data Fiduciary for data you provide us (name, phone, GST number, etc.).

For End-Customer / Udhar Data

You (the Shopkeeper) are the Data Fiduciary under Section 2(i) of DPDP Act, 2023. The legal obligation to obtain customer consent rests entirely with you. We process this data only as instructed by you.

Since you (Shopkeeper) are the Data Fiduciary for your customers — end-customers must direct their data rights requests (access, correction, deletion) to you, not to Khata Wallah. We will assist you in fulfilling such requests within 30 days.

11. Children's Privacy

Khata Wallah is a B2B tool for adults (18+) only. We do not knowingly collect data from minors. Any such data discovered will be immediately deleted.

12. Policy Changes

Material changes notified via in-app notification and/or email at least 15 days before taking effect. Continued use = acceptance of updated policy.
